TRADE-IN TERMS AND CONDITIONS

1. WHO ARE WE?

This Trade-In Program is a service provided to you by PCS Wireless NL Cooperatief U.A. (“PCS", “we”, “us”, “our”) as part of a contracted service that PCS provides to Google LLC and its affiliates and subsidiaries (“Google”). We are a limited company registered in the Netherlands under company number 57921180 and with our registered office at A2 Tradepark, Burgemeester Burgerslaan 40A, 5245 NH Rosmalen, Netherlands. Our VAT number is NL852793200B02. Google will provide customer service for the Trade-In Program, but you understand the Trade-In Program and these Terms and Conditions are between you and PCS only.

2. APPLICATION OF THESE TERMS AND CONDITIONS

Subject to these Terms and procedures set forth herein, you may trade-in any device listed as eligible for the Trade-in Program on the Google Store website (referred to as “Trade-in Device”). These Terms and Conditions (“Terms”) are considered a contract between you and PCS and apply to the trade-in of your Trade-in Device. These Terms shall govern the payment, if any, you receive for your Trade-in Device. If you do not agree to these Terms, you will not be able to obtain credit for your Trade-in Device.

Please read these Terms carefully before offering to sell any device to us (you may wish to print a copy for your records). If you think there is a mistake in these Terms, or there are any terms that you do not understand, then please contact us.

In offering to sell us any Trade-In Device, you are confirming to us that:

  • You are at least 18 years old, or, if you are under 18 years of age, you have obtained your parent or guardian’s permission to sell your device, or can show proof of emancipation; and
  • You are providing a shipping address in Ireland; and
  • You are accessing the Google Store Ireland; and
  • You are legally capable of entering into a binding contract; and
  • You are the sole owner of the Trade-in Device or have been authorized by the sole owner of the Trade-in Device to make decisions regarding the disposition of the Trade-in Device, including to sell it to us and to transfer legal title to the Trade-in Device to us, and that there are no liens, encumbrances or security interests in or relating to the Trade-in Device, and no other party has a legal interest (especially a reservation of title) in the Trade-in Device; and
  • The Trade-in Device has not been counterfeited, stolen or fraudulently put into circulation; and
  • You do not infringe the intellectual property rights of any third party by using our site and offering your Trade-in Device to us.

3. FORMATION OF THE CONTRACT

If you wish to sell your Trade-In Device to PCS pursuant to the PCS Trade-In Program, you must submit an offer to PCS by first accurately answering each of the questions about your Trade-In Device presented to you on the Google Store (the “Trade-In Questions”). Your answers to the Trade-In Questions provide us with information on the characteristics and the condition of the offered Trade-In Device and will provide the basis for our initial valuation. When you complete the Trade-In Questions and submit your responses by pressing the “Confirm Purchase” button at checkout, you are (i) accepting to be bound by these Terms; and (ii) making a binding offer to enter into a contract with us (the “Offer”).

You can revoke your Offer at any time until your Trade-In Device is shipped simply by not shipping your Trade-In Device to us. After the Trade-In Device has been received by the shipping service provider, it is no longer possible to cancel your Offer.

You will be notified of the estimated trade-in value (the “Estimated Trade-In Value”) for your selected Trade-In Device upon completing the Trade-in Questions. However, this does not mean that your Offer to sell your Trade-In Device for the Estimated Trade-In Value has been accepted or that a contract has been established. The Estimated Trade-In Value offered by PCS is subject to your strict compliance with these Terms and remains subject to PCS’ inspection that it will perform after it receives your Trade-In Device.

Your contract with PCS will only be formed when: (i) we receive and inspect your Trade-In Device; and (ii) confirm the Estimated Trade-In Value; or, in cases where the actual condition of your Trade-In Device according to our valuation criteria is less than the Estimated Trade-In Value but at least 75% of the Estimated Trade-In Value, at the time you accept our counteroffer for the revised value that will be communicated to you (the “Revised Trade-In Value”) as set forth in Section 5.

The consideration for your Trade-In Device will be paid to you by Google on PCS’ behalf in the following form:

  1. credit to your original form of payment used to purchase your new Google device; if the consideration for your Trade-In Device exceeds the amount you paid for your new Google device, then the difference is given through a store credit for usage on the Google Store; or
  2. if you return your new Google device, a store credit for usage on the Google Store; or
  3. if Google is unable to credit your original form of payment, a store credit for usage on the Google Store; or
  4. if you finance your new Google device, Google will refund you through the Klarna payment option. Klarna will process your refund in accordance with your customer terms with Klarna.

To receive the Estimated Trade-In Value or Revised Trade-In Value, as may be applicable, your Trade-In Device must be sent to PCS within thirty (30) days of receiving your new Google device purchased on the Google Store. To send your Trade-In Device to PCS, you must use the provided Trade-In Kit as set forth in Section 7.

You must also meet all of the requirements as provided in these Terms, including the Device Eligibility Requirements in Section 4 below. You may incur additional charges or set offs against the Estimated Trade-In Value if you do not ship your Trade-In Device to PCS within the required time period, if your Trade-In Device fails to meet all of the Device Eligibility Requirements or if you otherwise do not comply with these Terms.

Except as provided in these Terms, after you have shipped your Trade-In Device to PCS it cannot be returned to you. This means, if you bought your Trade-In Device under an equipment installment plan or other financing plan or if you entered into a service contract with your wireless service provider, you, and not PCS, will remain solely responsible for any and all remaining payments under such plan or contract, including any contract termination fees, penalties, and costs related to the device that is submitted to PCS.

4. DEVICE ELIGIBILITY REQUIREMENTS To be eligible for trade-in, your Trade-In Device must meet all of the requirements stated in this Section 4 (“Device Eligibility Requirements”), as determined by PCS in its sole discretion:

  1. You may trade in only one (1) device per device purchase on the Google Store under this PCS Trade-In Program.
  2. You accurately describe the make, model and condition of your device when completing the Trade-In Questions;
  3. You must accept the Estimated Trade-In Value quoted at the conclusion of the Trade-In Questions;
  4. Your Trade-In Device must power on, hold a charge and not power off unexpectedly; Your Trade-In Device should not include a damaged battery. If your Trade-In Device exhibits a damaged battery (for example, is leaking fluid, is too hot to touch or the device casing is swollen), it is not eligible for trade-in and you should not send the device to PCS. Please note that for safety reasons we cannot return most devices with damaged batteries (e.g. battery swelling) and that no value will be paid or credited to you for such devices.
  5. You must power off your Trade-In Device prior to sending it to PCS;
  6. Once we have received your Trade-In Device, we will check the device’s ownership on the CheckMEND database (or another similar database, at PCS’ discretion) and act in accordance with Section 9 below. You acknowledge that as part of PCS’s licensing and compliance obligations, your personal information along with your Trade-In Device’s serial number may be submitted to the police data system for verification purposes and to assist with checks for lost or stolen property. Your Trade-In Device must not be on any lost or stolen list. No trade-in value will be given for any Trade-In Device reported as lost or stolen, purchased with government funds, or constituting government property. Additionally, PCS will not return to you any such Trade-In Device under any circumstances. If PCS learns that your Trade-In Device is reported lost or stolen or appears on any blacklist on or before fourteen (14) days after PCS receives your Trade-In Device, all sums (Estimated Trade-In Value or Revised Trade-In Value) that was paid or credited to you for your Trade-In Device shall be returned by you. You hereby authorize Google to charge the payment method in an amount equal to the amount Google paid or credited to you for your Trade-In Device;
  7. At the time of trade-in, you must be the owner of the Trade-In Device; the Trade-In Device must be free from third party rights;
  8. Your Trade-In Device must not be counterfeit;
  9. Any anti-theft locking software must be disabled on your Trade-In Device;
  10. Before shipping your Trade-In Device to PCS, you must perform a factory reset on it and remove all personal information (as described in Section 6 below); and
  11. You mail PCS your Trade-In Device in accordance with these Terms and the instructions contained with the Trade-In Kit.

5. ADJUSTMENTS/RETURNS/REJECTED TRADE IN DEVICES

Google will inform you via email when PCS receives your Trade-In Device. PCS will thereafter inspect the Trade-In Device to determine its value. Once the inspection is completed Google will communicate the results to you. In most cases the inspection will be completed within five (5) business days from the day the receipt of the Trade-In Device was confirmed to you. The results of the inspection will either confirm that PCS will pay the Estimated Trade-In Value offered for your Trade-In Device, reject your Offer to sell your Trade-In Device, or submit a counteroffer to you for your acceptance. These three scenarios can occur as follows:

  1. If PCS determines in its sole and absolute discretion upon inspection that your Trade-In Device corresponds to the specifications given by you in the Offer as contained in your answers to the Trade-In Questions and matches the Estimated Trade-In Value, PCS will accept your Offer. Google will communicate this to you via email in most cases within five (5) business days from the day you have been notified by email that PCS has received your Trade-in Device. In this email Google will confirm the Estimated Trade-In Value and then issue you the credit as set forth in Section 3. Please note it may take several days for such credit to appear on your payment method.
  2. If PCS determines in its sole and absolute discretion upon inspection that the condition of your Trade-In Device is less than 75% of the Estimated Trade-in Value, PCS will reject your Offer by returning your Trade-In Device to you and no value for your Trade-In Device will be given to you. Google will inform you accordingly via email. Factors that may result in a lower value and the return of your Trade-In Device include, but are not limited to your Trade-In Device is experiencing screen pixel damage, screen bruising, damaged devices, model differs from the model stated in the Trade-In Questions, etc.
  3. If PCS determines in its sole and absolute discretion upon inspection that the condition of your Trade-In Device is between 75% and below of 100% of the Estimated Trade-in Value, PCS will reject your Offer and Google, on PCS’s behalf, will submit a counteroffer to you by email for the Revised Value. If you accept the counteroffer, in order for a contract to be formed for the Revised Value, you must follow the instructions provided to accept the Revised Value. The counteroffer will be based on our requirements and the actual condition of your Trade-In Device. You can accept the counteroffer within seven (7) business days from the day the email with the counteroffer is sent. PCS and Google are not liable for non-delivery of emails due to spam emails or junk filters. If you accept the counteroffer, the contract with PCS is formed for the Revised Value and Google shall issue you the credit as set forth in Section 3. Please note it may take several days for such credit to appear on your payment method. If you reject the counteroffer, or if we do not receive your acceptance within seven (7) business days, PCS will send your Trade-In Device back to your address free of shipping costs.

    Please note, if you do not respond within ten (10) business days from the day the email with the counteroffer is sent to you, PCS will consider the counteroffer rejected and return your Trade-in Device back to the address you provided.

Except as provided in this Section 5, Trade-In Devices cannot be returned under any circumstance after shipping your Trade-In Device to PCS. If PCS receives a Trade-In Device that is locked and/or not cleared or wiped of personal data, PCS may return the device without removing the data, and you waive all claims against PCS and Google with respect to any data stored on the Trade-In Device.

6. REMOVING YOUR DATA AND UNLOCKING YOUR DEVICE

You MUST unlock, remove all personal accounts from your Trade-In Device, unpair any connected devices such as smart watches, and remove all data, including all confidential and personal data from your Trade-In Device before sending it to PCS. To do so, you should reset your device to its factory settings, following the manufacturer’s instructions.

It is your responsibility to back up any data that you wish to keep. PCS and Google do not accept any responsibility or liability for any lost files or data or disclosure of private information that has not been removed from your Trade-In Device prior to sending PCS your Trade-In Device. Data recovery is not a part of our Trade-In Program. Once the Trade-In Device has been received by us, there is no way for you to retrieve any data or other content stored on the device or memory card. In addition, make sure that you remove all accessories, chargers, covers, cases, locks, SIM cards and memory cards before sending the device to PCS. Any such items sent with your Trade-In Device will not be returned.

If any personal information has not been deleted or removed from your Trade-In Device, you authorize PCS to remove and destroy any SIM card or memory card left in the Trade-In Device and to perform a factory reset and data wipe on the said device. Failure to strictly comply with these conditions may result in you receiving less than the quoted Estimated Trade-In Value for your Trade-In Device in accordance with Section 5. Under no circumstances will PCS or Google be responsible or liable for any direct or indirect loss or damage or loss of use of any personal information remaining in the Trade-In Device which you failed to remove, or which arises as a result of PCS data wiping, destroying or removing personal information.

PCS is under no obligation to delete or remove the data. PCS assumes no responsibility for failure to maintain the integrity or confidentiality of data and does not guarantee that resetting the Trade-In Device to factory defaults will permanently erase data or personal information.

7. SENDING US YOUR DEVICE

PCS will provide a Trade-In Kit and instructions for you to use and follow to send us your Trade-In Device. You are responsible for ensuring your Trade-In Device is not damaged during shipping to PCS. You must securely pack your Trade-In Device with adequate padding. PCS and Google are not responsible for any loss in connection with the loss of or damage to your Trade-In Device in transit if such loss/damage is caused by your failure to follow the instructions provided or your failure to ensure adequate packaging. If your Trade-In Device is damaged in transit to us, you may receive less than the quoted Estimated Trade-In Value for your Trade-in Device in accordance with Section 5. You must strictly follow the instructions provided by both PCS and Google. If you lose or discard the Trade-In Kit, please contact Google to have the kit resent to you. Your Trade-In Device must be sent to PCS within thirty (30) days after the date you receive the new device purchased from Google. Trade-In Devices that are sent more than thirty (30) days after the date you receive your new device purchased from Google may result in you receiving less than the quoted Estimated Trade-In Value for your Trade-In Device in accordance with Section 5.

8. OWNERSHIP AND TRANSFER OF TITLE TO THE DEVICE

By submitting your Offer, you confirm that you own all right, title and interest in the Trade-In Device and that the Trade-In Device is free of third-party rights. By shipping the Trade-In Device to PCS, you agree to transfer title and ownership of the Trade-In Device to PCS. Title to your Trade- in Device shall transfer to PCS upon the formation of the contract. Upon transfer of title to PCS, you disclaim any and all right, title or interest in and to the Trade-In Device, including the right to sell, dispose, or otherwise collect, where applicable, its value.

In addition, by submitting your Offer to us, to the extent permissible, you undertake to indemnify us against all claims of third parties of whatever nature and origin in respect of your Trade-In Device offered and to compensate us for any damages, including the costs of any legal assistance and/or judicial assistance which may be necessary or appear to be necessary and which we may incur as a result thereof.

9. LOST, STOLEN, BLOCKED AND COUNTERFEITED DEVICES

  1. Pursuant to these Terms:

    "Lost, Blocked or Stolen" devices are devices that have not been transferred to us by or on behalf of the person who is the sole owner of the device or the person authorized by the sole owner to dispose of the device; and "Counterfeit" devices are devices manufactured to resemble devices manufactured by another company through an infringement of the original manufacturer's intellectual property rights.

  2. When we receive your Trade-In Device, we will check its IMEI/Serial number to determine if it has been reported lost and stolen property. You acknowledge that as part of PCS’ licensing and compliance obligations, your personal information along with your Trade-In Device’s serial number may be submitted to the police data system for verification purposes and to assist with checks for lost or stolen property.
  3. We reserve the right to cancel any contract entered into with you if your Trade-In Device is reported lost, blocked, stolen or counterfeit. If we cancel the contract, we will not make any payments to you for your Trade-In Device that are either lost, blocked or stolen or counterfeit and we reserve the right to reclaim any consideration already paid/provided to you for such device. Additionally, PCS shall not return to you any such Trade-In Device under any circumstances.
  4. Trade-in is conditional on the new device purchase. If the new device purchase is canceled or returned, the trade-in may be canceled.
  5. If PCS or Google suspects of unauthorized reseller activity or other suspicious activity related to the Trade-in Program (such as high levels of trade-in volume), PCS and/or Google reserves the right to deny any Trade-In Credit and will return the Device(s) back to You at Your shipping cost or destroy such Device(s) after 90 days.
  6. We reserve the right to notify the relevant authorities if there is any suspicion of intentional fraud.
  7. If your Trade-In Device is found to have a ‘red flag’ against it, indicating that it has been lost or stolen, Google will notify you by email. You will then have 28 days to contact CheckMEND (or similar service used) to prove that you are the rightful owner of the device, and have the ‘red flag’ removed from your device’s CheckMEND (or similar service used) record (the “Quarantine Period”)

    If during the Quarantine Period the ‘red flag’ against your device is removed from the appropriate database, then you will receive credit for your Trade-In Device, or it will be returned in accordance with these Terms.

    However, if the ‘red flag’ is not removed by the expiration of the Quarantine Period, we may be prohibited by law from returning your Trade-In Device to you, and we may pass the device to the Police or other relevant law enforcement agency. You will not receive any payment in such circumstances, and we accept no liability for any loss you suffer.

10. RISK OF LOSS TO YOUR DEVICE

Risk of loss to your device will transfer to us once we receive your Trade-In Device at the address specified in the shipping instructions provided to you in accordance with these Terms.

11. OUTSTANDING PAYMENT OBLIGATIONS

If you bought your device under an equipment installment plan or other financing plan or if you entered into a service contract with a wireless service provider, you will be responsible for any and all remaining payments under such plan or contract, including any contract termination fees. We assume no such liability in respect of such fees when buying your device.

12. MISCELLANEOUS ADDITIONAL TERMS

  • The Trade-In Program is offered and administered by PCS.
  • PCS reserves the right to decline or cancel your participation in the Trade-In Program, with or without advance notice, if we believe that your participation is enabling a fraudulent or illegal purpose.
  • By participating in the Trade-In Program, you understand that it may be necessary for PCS, its affiliates, partners and agents, to collect, process, transmit, maintain, share, and use certain of your personal information, and you agree to provide such requested information such as permitting review of your identification, record the identification type, the issuing authority, identification number, your name, address, and information related to your method of payment, to perform the service and support obligations under the Trade-In Program. At all times, PCS will treat your information in accordance with the PCS Privacy Policy, available below.
  • If any provision (or part of any provision) of these Terms is found to be illegal, invalid or unenforceable under any applicable law, such term shall, insofar as it is severable from the remaining terms, be deemed omitted from these Terms and shall in no way affect the legality, validity or enforceability of the remaining terms.
  • PCS reserves the right to substitute, amend, modify, cancel or add to any part of these Terms at any time, including terminating the Trade-In Program. Such changes do not apply retrospectively and only apply to future offers in the Trade-In Program.

13. EVENTS OUTSIDE OUR CONTROL

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by an event outside our control (including but not limited to strikes, other labor disputes, freight embargoes, fires, storms, floods, pandemics or other natural disasters, or failure of telecommunications networks or impossibility of the use of transport).

If we are unable to perform our obligations to you as a result of any event outside our control Google will contact you as soon as reasonably possible and we will take steps to minimize the effect of any delay. Provided we do this, our obligations to you shall be suspended for the duration of the event outside our control and we will not be liable for any delay caused by the event.

14. LIMITATION OF LIABILITY

We are responsible for loss or damage you suffer that is a foreseeable result of our breach of any contract with you or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if the loss or damage was an obvious consequence of our breach or if they were contemplated by you and us at the time we accept your offer of sale. However, you additionally agree that PCS’ total liability to you will not exceed the Estimated Trade-In Value or Revised Trade-In Value, as may be applicable.

We do not in any way exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation or for any breach of any terms implied by law.

15. USE OF YOUR PERSONAL INFORMATION

PCS agrees to keep your information confidential. The collection and processing of personal information contained in your offer is limited to the administration of your participation in the Trade-In Program, the answering of questions and to handle the take-back process. Details on the use of your personal information and your rights are regulated in our Privacy Policy that can be found below. Please take the time to read this. This applies in particular with regard to any data present on your Trade-In Device, see Section 6.

Use of your personal information on store.google.com will be governed in accordance with Google’s privacy policy.

16. OTHER IMPORTANT TERMS

  1. The Contract is between you and us. No other person shall have any rights to enforce any of its terms.
  2. We may transfer our rights and obligations under any contract with you to another organization. We will tell you in writing if this happens.
  3. Each paragraph of these Terms is separate and if any court or relevant authority decides that any of them are unlawful or unenforceable, the other paragraphs will remain in full force and effect.
  4. If we do not insist that you perform any of your obligations under these Terms, or where we do not enforce, or delay enforcing our rights, that will not mean that we have waived our rights nor that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
  5. These Terms are governed by and construed in accordance with the laws of Ireland, without regard to the UN Convention on the Sale of Goods.
  6. The parties agree that all disputes arising from or in connection with a contract concluded under these Terms shall fall exclusively within the jurisdiction of the courts in Ireland.

Our VAT number is NL852793200B02. (“PCS" “we”, “us”, “our”) is committed to protecting and respecting your privacy.

This Privacy Policy (“Policy”) sets out the basis on which any personal data we collect from you or that you provide to us within the Trade-In Program via the Google Store (“Trade-In Program”) will be processed by us.

Please read the following sections carefully to understand the procedures we follow in handling your Personal Information.

This Policy does not apply to the websites of our business partners or any third parties, even if their websites are linked to our Trade-In Program.

  1. Data Controller

    For the purposes of the European General Data Protection Regulation ("GDPR", Regulation (EU) 2016/679) we are the data controller.

  2. Personal Data

    “Personal data" is any data as defined by the GDPR, e.g. your name, your telephone number, your e-mail address, your IP address ("Internet Protocol" address) or your location data.

  3. Personal Data we may collect from you

    We or our subcontractors may collect the following data from you:

    1. Data you provide to us

      You may provide us with data about yourself by using our Trade-In Program or by communicating with us by phone, email or otherwise in the context of our Trade-In Program via our business partner Google. This includes personal data you provide to us in your offer (i.e. the Trade-In questions) as well as any personal data provided to us when sending us your offered device (“Trade-In Device”). We may also process personal data that might be on your Trade-In Device in accordance with the Terms & Conditions of our Trade-In Program. The information you share with us may include a review of your identification, record the identification type, the issuing authority, identification number, your name, address, email address, phone number and financial and credit card information.

    2. Data we receive from other sources

      We may obtain data about you from third-party sources, such as public databases, our business partners and other third parties.

  4. Use and storage of your personal data

    We may use and store your personal data as follows:

    1. Data you provide to us

      We may use and store the personal data you provided to us in order to fulfil our obligations arising from contracts entered into between you and us through our Trade-In Program and to provide you with the necessary information for the execution of the contract. We may also process personal data that you might provide to us via e-mail or phone in the course of the execution of the contract. Your personal data will not be used for promotional purposes and not be shared with any third parties.

    2. Data we receive from other sources

      We may use and store the data provided by other sources (section 3.2) to verify whether a mobile device has been reported lost or stolen or to search the IMEI database and to prevent and combat fraud. In that case, we will notify you when we have collected that information. We may combine this data with data that you provide to us as set forth in section 3.1. We may use and store this data and the combined data for the purpose outlined above and/or any purpose under applicable laws (depending on the type of data we receive).

  5. Legal basis for the processing of your personal data

    Our legal basis for processing your personal data as described in this Policy depends on the personal data concerned and the specific context in which it is processed by us. As a general rule, your personal data is processed by us according to one or more of the legal bases set forth in Article 6 GDPR, in particular Article 6 sec. 1 lit. f) GDPR.

  6. Transmission of data

    PCS may transfer your personal data to other PCS Group companies for processing to the extent necessary for the purposes described in this Policy. In doing so, your personal data may be transferred to PCS Wireless LLC headquarters in the United States. The United States may have different data protection standards than your home country. In order to provide adequate protection for your personal information when it is transferred, we have contractual arrangements (where necessary) with our subsidiaries, affiliates and business partners regarding such transfers. We take all reasonable technical and organizational measures to protect the personal data we transfer. PCS Wireless LLC will process the data exclusively in accordance with our instructions and are also bound by this Policy. You hereby consent to the transfer of your personal data for the purpose of carrying out the Trade-In Program. You can revoke this consent at any time to the Data Controller (see Contact Section 10). A revocation does not affect the lawfulness of the processing of your personal data carried out on the basis of the consent until the revocation.

  7. How long will we process your personal data?

    We will only store your personal data for as long as is necessary to fulfil the purposes we have collected it for, including to comply with any legal, accounting or reporting obligations. Data provided by you within the meaning of Section 3.1 will generally not be retained for longer than the retention period of six years required by commercial and tax law.

  8. Your rights
